Services:

Community Engagement PlatformFull access to Company’s Community Engagement Platform. This includes all platform components, as well as Company’s AI and ML based moderation technology. 
Community Engagement Platform ImplementationThe following implementation services: (i) technical implementation manager, designated partner success manager, technical support, product optimizations/customizations, analytics, community best practices, and platform training; (ii) implementation of SSO (Single Sign-On) and (iii) Comments migration to Company Community Engagement Platform. 
Company IAUInteractive Ad Unit which allows Company to insert and display on Publisher Properties (as defined in the Services Agreement) advertising content including videos, images, graphics, animations, sounds, text, music, and other similar content.
Company IAU ImplementationThe following implementation services: technical implementation manager, designated partner success manager, analytics. 
In-Conversation AdsCompany’s technology which allows Company to insert and display Advertisements on the Publisher Properties, between the comments on the Community Engagement Platform.
Company’s SSP ServicesImplementation of the Company’s Supply-Side Platform (SSP) and/or AdYouLike SSP on Publisher Properties using the appropriate integration methods. This can include Header Bidding via direct integration or through Amazon's TAM, as well as integration via Prebid Client, Prebid Server or Server-to-Server.
Company’s Email Monetization ServiceCompany’s exclusive right to serve 3rd party advertising to Publisher E-Mail and right to serve such advertising to Network E-Mail through Company’s Email Monetization service (formerly known as Jeeng).  
 
For purposes of this section, (a) “Publisher E-Mail” means e-mail managed by Publisher that is sent to users who have subscribed to receive e-mail newsletters associated with the publisher properties; and (b) “Network E-Mail” means e-mail that is sent to users who have subscribed to receive e-mail newsletters associated with website(s) on which Publisher has a contractual right to serve advertising.
Company’s Newsreader Monetization ServiceCompany will work on behalf of the publisher to provide additional demand for their newsreader inventory, through the company relationship with third-party advertisers. 
Email AdServerAvailability of Company’s Email Ad Server, to enable the Publisher to serve its own direct sold advertisements to its emails. 

Revenue Models:

Revenue (applicable to IAU, In-Conversation Ads, and SSP)Revenue” means (a) the gross revenue generated by Company from Advertisements which were inserted by Company and displayed through use of the Services on the Publisher Properties less (b) costs and expenses incurred in providing the Services, as well as the total amount of credit card processing fees, taxes, bad debt, charge-backs, deductions, reversals, or credits and refunds, and delivery costs payable in connection with such Advertisements.
Email Revenue Model"Email Revenue" means the net amounts actually received by Company from advertisers for ad units included in Publisher’s E-Mail and Network E-Mail that contain Company’s proprietary third-party ad serving platform as part of Company Email Monetization Services. This net amount is calculated after deducting credit card processing fees, bad debt, chargebacks, deductions, reversals, pass-through costs, taxes, VAT, credits, and refunds to advertisers. It excludes any revenue from opens and clicks that are classified as Click Fraud.
 
"Click Fraud" means opens and clicks that are incentivized or generated from automated bots or other mechanized systems designed to emulate human traffic.
Newsreader RevenueNewsreader Revenue” means the amounts received by Company from advertisers for ad units minus the total amount of credit card processing fees, bad debt, chargebacks, deductions, reversals, pass-through costs, taxes, VAT or credits and refunds to advertisers.
